Digitization is changing how Nigerians participate in the capital market, with public offers increasingly reaching investors through digital financial channels.

At the centre of this shift is NGX Invest, a platform connecting investors to public offers through stockbrokers, banks, fintechs, mobile operators and other financial institutions.

Launched in 2024, NGX Invest connects financial institutions to primary-market offers through application programming interfaces (APIs). Investors can also subscribe directly through the NGX Invest website.

From Recapitalization to Mass Digital Access

NGX Invest expanded significantly during the banking recapitalization programme.

Over the 24-month exercise, Nigerian banks raised N4.65 trillion through the capital market, with N2.8 trillion, representing about 60%, raised through NGX Invest.

The exercise also brought more investors into the formal capital market, with more than two million investors onboarded in 2025, according to NGX Group.

The figures show the growing role of digital distribution in primary-market fundraising.

Rather than requiring investors to complete physical subscription forms or interact directly with stockbrokers, NGX Invest allows financial institutions to distribute public offers through channels their customers already use.

More Than 100 Distribution Channels

The NGX Invest network has expanded to more than 100 distribution channels, including stockbrokers, banks, fintechs, mobile operators and other financial institutions.

NGX Group has also introduced a WhatsApp channel through which investors can access and subscribe to public offers.

The model gives investors multiple entry points into the primary market while giving companies raising capital access to a broader distribution network.

Since its launch, NGX Invest has supported 23 primary-market transactions and facilitated more than N3 trillion in capital raising.

This makes the platform an increasingly significant part of the infrastructure connecting issuers, financial institutions and investors.

Dangote Offer Provides Another Test

The Dangote Petroleum Refinery and Petrochemicals public offer is the latest major transaction to use this digital distribution infrastructure.

The offer comprises 4.1 billion ordinary shares at N525 per share, with a minimum subscription of 10 shares valued at N5,250. It opened on September 14 and closes on October 13, with an expected raise of approximately N2.15 trillion.

The scale of the offer has generated high traffic on some investment platforms.

Several digital investment platforms reported disruptions following the opening, while some recorded traffic several times higher than normal. Increased activity also affected some third-party service providers supporting the transaction process.

The experience highlights a key requirement of digital capital-market access: infrastructure must be able to handle higher transaction volumes as participation grows.

What NGX Invest Means for the Market

The platform now allows public offers to reach investors outside the traditional stockbroking relationship.

For investors, this means access to primary-market opportunities can increasingly be integrated into existing digital financial services.

For companies raising capital, it provides additional channels for reaching potential investors.

BuyerMetrics Analysis

NGX Invest has developed from an online subscription platform into a distribution layer connecting public offers with multiple financial institutions.

The banking recapitalization exercise demonstrated its capacity to support large-scale fundraising, while the Dangote offer is providing another high-volume transaction through which the network is being tested.

The next measure will be how effectively the system handles growing transaction volumes across the full investment process, including subscription, reconciliation and allotment.

As digital access expands, the reliability and security of the infrastructure will remain important to both investor participation and the wider development of Nigeria’s primary capital market.
